§1

Name, Sitz und Geschäftsjahr

1. Der Verein führt den Namen „Institut für Wirtschaftsinformatik und Digitale Gesellschaft e.V.“.
2. The association is based in Potsdam.
3. The financial year of the association is the calendar year.

§2

Zweck

1. Der Verein verfolgt national und international ausschließlich und unmittelbar gemeinnützige Zwecke im Sinne des Abschnitts „Steuerbegünstigte Zwecke der Abgabenordnung 1977“, durch:
   a. Promotion of research and science
   b. Promotion of education
   • The statutory purpose “promotion of research and science” is realized in particular through:
   • Conducting research projects in the field of business informatics and the digital society that are fully or partially financed by the Federal Government, the state governments, the European Community or recognized foundations and whose results are made accessible to the general public after an appropriate period of time.
   • Conducting research projects of industrial collective research within the framework of the German Federation of Industrial Research Associations e.V. (AiF).
   • Publication of all research results from funded projects
     in accordance with the respective funding guidelines.
   • Conducting scientific events whose results are made accessible to all interested parties, as well as other forms of informing the general public about scientific findings and their effects.
2. The statutory purpose “promotion of education” is realized in particular through:
   • Durchführung von Aus- und Weiterbildungsmaßnahmen auf dem Gebiet der Wirtschaftsinformatik, die der Allgemeinheit zugänglich sind, wie beispielsweise Workshops, Seminare und Lehrgänge, sowie anderen Formen der Wissensvermittlung für die Allgemeinheit.
   • Mitwirkung an der Willensbildung der Allgemeinheit in Bezug auf die Digitale Wirtschaft und Gesellschaft.
3. Zur Verfolgung ihrer Zwecke kann der Verein seinerseits die Mitgliedschaft in anderen Vereinigungen erwerben. Dies betrifft u.a. Fachgremien, Vereine und Verbände.

§3

Gemeinnützigkeit

1. Der Verein ist selbstlos tätig; er verfolgt nicht in erster Linie eigenwirtschaftliche Zwecke.
2. Funds of the association may only be used for purposes in accordance with the statutes. The members do not receive any allocations from the funds of the association;
   reimbursement of expenses is permitted.
3. No person may be favored through expenditures that are unrelated to the purposes of the association or through disproportionately high remuneration.

§4

Mitgliedschaft

1. Members of the association may be natural persons and legal entities or
   associations of persons, scientific institutions, authorities, associations or clubs and federations, foundations, companies, as well as commercial enterprises of any legal form whose purpose and activity or professional interest are connected with the purpose of the association.
2. Die Mitgliedschaft ist freiwillig. Sie wird aufgrund eines formlosen schriftlichen Antrags erworben. Über die Annahme eines Mitglieds entscheidet der Vorstand innerhalb von 8 Wochen nach Antragseingang. Gegen eine vom Vorstand verweigerte Aufnahme in der Verein hat der Betroffene innerhalb von 6 Wochen das Recht auf Einspruch beim Vorstand. Der Einspruch ist der nächsten Mitgliederversammlung vom Vorstand vorzulegen. Der Beschluss der Mitgliederversammlung ist endgültig.
3. Die Mitgliedschaft beginnt mit der Mitteilung der Aufnahme. Für das Jahr des Beitritts ist ein voller Mitgliedsbeitrag fällig.
4. The members pay annual contributions, the minimum amount and due date of which are determined in contribution regulations adopted by the General Assembly.
5. Vereine, Verbände, Stiftungen oder gemeinnützige Gesellschaften können
   beitragsbefreite Mitglieder des Vereins werden, sofern sie die Ziele des Vereins unterstützen und für den Verein ebenfalls eine beitragsfreie Mitgliedschaft im betreffenden Verein, Verband, der Stiftung oder der Gesellschaft eingeräumt wird.
6. Zu Ehrenmitgliedern können natürliche Personen ernannt werden, die sich in besonderer Weise um den Verein verdient gemacht haben. Die Ehrenmitglieder werden vom Vorstand berufen. Ehrenmitglieder sind in ihren Rechten den ordentlichen Mitgliedern gleichgestellt, sind jedoch von der Beitragszahlung befreit.
7. In addition, there is the possibility of membership as a corresponding member of the association. Corresponding members are appointed by the Board of Directors of the association; membership is established by written acceptance and may be terminated unilaterally by written declaration at the end of the respective financial year.
8. Membership ends:
   • in the case of natural persons, with death;
   • bei juristischen Personen, Vereinigungen und Gesellschaften sowie gewerblichen Unternehmen mit deren Auflösung oder Konkurseröffnung;
   • after written notice of termination by a member at the end of the current fiscal year. The termination must be received by the managing director by registered letter at least 3 months before the end of the fiscal year;
   • by resolution of the board, if the member contravenes the interests, the statutes or the resolutions of the association, has committed an act that is punishable in Germany and has been legally convicted in Germany or no longer fulfills the requirements for membership; an objection to the resolution may be raised within 6 weeks of notification. The objection is to be presented to the next general meeting by the board. The decision of the general meeting is final.
   • automatically if the annual membership fee is not paid despite three reminders and after written notice of the exclusion.
9. Voluntary resignation or exclusion from the Association does not cancel the obligation to pay dues due for the current fiscal year and does not grant any claims to repayment of dues or to the assets of the Association

§5
Rights and duties of the members

1. All members are entitled to submit motions for the general assembly. The applications must be submitted to the management at least one week before a general meeting.
2. All members are entitled to submit proposed topics to the management or
   the Board of Directors that are to be subjected to scientific consultation. The Board of Directors and the management shall take such proposals into account within the possibilities of the association.
3. Alle Mitglieder sind berechtigt, an der Mitgliederversammlung teilzunehmen. Die Zahl der Vertreter jedes einzelnen institutionellen Mitglieds wird auf maximal 5 Personen begrenzt.
4. Alle Mitglieder besitzen das aktive und passive Wahlrecht bei der Besetzung des Vorstands, des Forschungsbeirats und der Funktion des Rechnungsprüfers.
5. Each member has one vote.
6. The members are obliged to support the association in carrying out its tasks.
7. In order to ensure that they can be reached, the members are obliged to notify the management of the association of any change in their address.
8. Each member pays the fixed annual fee (see § 4).

§6 Organs of the association

The affairs of the association taken care of by:

1. The General Assembly
2. The board
3. Directorate
4. The Research Advisory Board

§7
General Assembly

1. The General Assembly consists of all members. Each member has one vote. Members may be represented by written authorization. The written authorization must be presented to the Board of Directors at the beginning of the General Assembly.
2. The Ordinary General Assembly takes place every 2 years; Extraordinary General Assemblies take place by resolution of the Board of Directors or upon written application by at least 4/10 of the members.
3. Die Einladung zur Mitgliederversammlung erfolgt durch den Geschäftsführer
   schriftlich, mindestens drei Wochen vor dem Sitzungstag unter Angabe der betreffenden Tagesordnung. Die von Mitgliedern vorgeschlagenen
   Tagesordnungspunkte sind in der Mitgliederversammlung zu behandeln
4. The General Assembly is chaired by the Chairman of the Board or another member of the Board of Directors.
5. Die ordnungsgemäß einberufene Mitgliederversammlung ist ohne Rücksicht auf die Anzahl der erschienen Mitglieder beschlussfähig. Mit Ausnahme der Regeln in §7 Abs. 7 und §7 Abs. 8 fasst sie alle Beschlüsse mit einfacher Mehrheit der abgegebenen Stimmen. Bei Stimmengleichheit gilt ein Antrag als abgelehnt.
6. The General Assembly is responsible in particular for:
   • the election of the Board of Directors, the members of the Research Advisory Board and two auditors,
   • acceptance of the annual report and accounts,
   • the discharge of the board and the management,
   • the decision on the budgets for the coming years,
   • the determination of the contribution regulations,
   • the decision on the appeal against the rejection of the
     admission of a member,
   • the decision on the appeal against the rejection of the
     member,
   • the amendment of the statutes and the dissolution of the association.
7. Motions to amend the statutes must be announced in the agenda of
   Mitgliederversammlung angekündigt sein. Zu den Satzungsänderungen ist eine Mehrheit von 2/3 der in der Versammlung abgegebenen Stimmen erforderlich, wobei Enthaltungen und ungültige Stimmen nicht mitgerechnet werden.
8. Ein Antrag auf Auflösung des Vereins muss in der Mitgliederversammlung nach Ankündigung in der Tagesordnung behandelt werden. Er gilt bei der Mehrheit von 3/4 der abgegebenen Stimmen vorbehaltlich eines endgültigen Beschlusses als angenommen. Nach diesem vorbehaltlichen Auflösungsbeschluss ist innerhalb von drei Wochen eine weitere Mitgliederversammlung einzuberufen, in der der vorbehaltliche Auflösungsbeschluss mit 3/4 aller abgegebenen Stimmen bestätigt werden kann und damit endgültig wird. Werden weniger als 3/4 der Stimmen für den Auflösungsbeschluss abgegeben, so gilt dieser als abgelehnt.
9. Die bei der Mitgliederversammlung gefassten Beschlüsse sind in einem Protokoll festzuhalten, dass den Mitgliedern innerhalb von vier Wochen nach der Mitgliederversammlung zugänglich gemacht wird. Das Protokoll gilt als genehmigt, wenn nicht innerhalb von einem Monat nach Zugang schriftlich Widerspruch beim Vorstand erhoben wird. Im Falle eines Widerspruchs ist das Protokoll durch den Vorstand der nächsten Mitgliederversammlung zur Diskussion und Beschlussfassung vorzulegen. Die Protokollführung obliegt dem Geschäftsführer.

§8
Board

1. Der Vorstand im Sinne des §26 BGB besteht aus drei Personen. Mitglieder des Vorstandes können Vertreter der angeschlossenen Organisationen und
   Mitgliedsfirmen sowie persönliche Mitglieder werden.
2. The members of the Board of Directors are elected by the General Assembly by
   secret ballot. Those candidates who receive the most votes and accept the election are deemed elected.
   In the event of a tie, a run-off election is required.
3. The term of office of the elected members of the Board of Directors is 2 years. Re-election is permitted.
4. Der Vorstand bestimmt aus seinem Kreis einen Vorsitzenden. Der Verein wird durch den Vorsitzenden oder zwei Vorstandsmitglieder vertreten.
5. The Board of Directors is responsible for all questions that are not reserved for the General Assembly.
6. The Executive Board has a quorum when more than half of its members are present. This decides with a simple majority of votes.
7. Der Vorstand leitet der Verein und bestimmt die Maßnahmen, die zur Erfüllung der von dem Verein verfolgten Zwecke notwendig sind. Er hat Beschluss zu fassen über die:
   • order of the manager,
   • applications for membership of new members,
   • exclusion of members,
   • vocation of corresponding members,
   • Nomination of honorary members,
   • Exemption from contributions for clubs, associations, foundations or charitable
     societies according to § 4 paragraph 5,
   • rules of procedure of the board of directors,
   • management order,
   • appointment of a board of directors.
8. The board of directors discusses the budget for the following years and the annual accounts before they are dealt with in the general assembly.
9. At least one board meeting is held annually.
10. Der Vorstand führt nach Ablauf der Wahldauer seine Geschäfte bis zur neuen Wahl fort.
11. The activities of the members of the board of directors are honorary.

Directorate

1. The Directorate consists of the directors of the research areas of the association who, as professors, feel particularly committed to the timely transfer of their research results into business and society, wish to do so independently and on their own initiative, and use for this purpose the association’s shared infrastructure, which is particularly geared toward transfer.
2. Dazu berät das Direktorium den Vorstand bei den Grundzügen der internen Wissenschafts- und Forschungspolitik sowie der Forschungs-, Ausbau- und Finanzplanung und darüber hinaus in allen Fragen, die das reibungslose Zusammenwirken der Forschungsbereiche und die wirkungsvolle Unterstützung der Forschungsbereiche bei ihren Tätigkeiten betreffen.
3. Die Mitglieder des Direktoriums werden durch Vorstandsbeschluss ernannt und entlassen.

The Research Advisory Board

1. The Research Advisory Board consists of:
   • the spokesperson of the Board of Directors, who chairs the
     Research Advisory Board,
   • the Managing Director of the association,
   • and persons to be elected by the General Assembly, upon the proposal of the Board of Directors, for a term of 4 years. Re-election is possible.
2. Die Mitglieder des Beirates sollen solche Persönlichkeiten sein, die Kraft ihrer beruflichen Betätigung über ausreichende Erfahrungen in Bezug auf Forschung und Entwicklung im Bereich der Wirtschaftsinformatik und Digitalen Gesellschaft verfügen.
3. The Research Advisory Board has the following tasks in particular:
   a. It reviews applications for public funding of industrial collective research projects submitted by the association to the AiF.
   b. Er spezifiziert Forschungsschwerpunkte (ggf. auch Schwerpunktprogramme) im Bereich von Wirtschaftsinformatik und Digitaler Gesellschaft und empfiehlt den Aufbau von Kooperationsbeziehungen zwischen geeigneten Forschungseinrichtungen. Er hat das Recht, Ausschüsse einzusetzen und deren Aufgabenbereiche festzulegen.
   c. It seeks opportunities to acquire funding for
   Forschungsvorhaben und berät zu Möglichkeiten der Beantragung derartiger Mittel.
4. The activity in the research advisory board is honorary.
5. The Research Advisory Board can set its own rules of procedure.

The Management

1. The board of the association appoints a full-time or part-time managing director.
2. Der Geschäftsführer führt verantwortlich die laufenden Geschäfte des Vereins nach der Satzung, den Beschlüssen der Mitgliederversammlung und des Vorstands.
3. Die Rechte und Pflichten der Geschäftsführung werden in einer vom Vorstand zu beschließenden Ordnung der Geschäftsführung geregelt.

§12
Accountant

Two auditors are elected biennially by the general meeting to audit the annual accounts, and they may not hold any other office in the association. The auditors report the results of the audit to the ordinary general assembly. Re-election is possible.

§13
Financing

The pursuit of the purpose of the association will be made from:

1. Funding for scientific research projects are of general and public interest,
2. membership fees,
3. other financial and material donations from members and other sponsors,
4. Income from the investment of the assets of the association,
5. Participation fees for scientific events and for training and further education measures of the association,
6. Income from publications and information services of the association,
7. Public and other grants,
8. Surpluses - after payment of the corresponding taxes - financed from the economic business operation and the special-purpose operation.

§14
Personel

1. Mitglieder des Vereins können grundsätzlich Personal für die Erledigung von Aufgaben des Vereins dem Verein entgeltlos überlassen. Der Vorstand spricht die Mitglieder, von denen er Personal übertragen haben möchte, direkt an.
2. Das von einem Mitglied an der Verein übertragene Personal ist gegenüber dem Verein und dessen Organen weisungsgebunden. Ferner wird vereinbart, dass das übertragene Personal Stillschweigen über die Tätigkeit in dem Verein bewahrt.

§15
Silence

1. Jedes Mitglied verpflichtet sich, nach Eintritt in der Verein über den Tod bei natürlichen Personen oder Insolvenz / Auflösung bei juristischen Personen hinaus Stillschweigen über die Aktivitäten des Vereins zu wahren.
2. The obligation to maintain confidentiality can be lifted by the Management Board in individual cases. The cancellation must be in writing.

§16
Dissolution of the association

1. The association can only be dissolved by resolution of the general meeting. The request must be communicated on the agenda.
2. Bei Auflösung des Vereins oder bei Wegfall seines steuerbegünstigten Zwecks ist das nach Abzug aller Verbindlichkeiten verbliebene Vermögen des Vereines der AiF Arbeitsgemeinschaft industrieller Forschungsvereinigungen „Otto von Guericke“ e.V. zur unmittelbaren und ausschließlichen Verwendung für gemeinnützige Zwecke zuzuführen. Bei einem etwaigen Wegfall steuerbegünstigter Zwecke der AiF hat die Mitgliederversammlung des Vereins über die Verwendung des Vermögens neu zu beschließen. Dieser Beschluss darf erst nach Einwilligung des Finanzamtes ausgeführt werden
