{"id":67,"date":"2022-12-14T09:50:48","date_gmt":"2022-12-14T09:50:48","guid":{"rendered":"http:\/\/dev.widg.de\/?page_id=67"},"modified":"2026-08-24T11:43:38","modified_gmt":"2026-08-24T09:43:38","slug":"satzung","status":"publish","type":"page","link":"https:\/\/www.widg.de\/en\/satzung\/","title":{"rendered":"Statutes"},"content":{"rendered":"<p class=\"has-text-align-left translation-block\">(Change decided by the General Assembly on June 29, 2022)\n<br>\u00a71<br> Name, registered office and financial year<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li class=\"translation-block\">The association bears the name \u201cInstitute for Business Informatics and Digital Society e.V.<\/li>\n\n\n\n<li>The association is based in Potsdam.<\/li>\n\n\n\n<li>The financial year of the association is the calendar year.<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center translation-block\">\u00a72<br>Purpose<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>The association exclusively<br>and directly pursues charitable purposes nationally and internationally within the meaning of the section<br>\u201cTax-Privileged Purposes\u201d of the German Fiscal Code of 1977, through:<br>a. Promotion of research and science<br>b. Promotion of education\n<ul class=\"wp-block-list\">\n<li>The statutory purpose \u201cpromotion of research and science\u201d is realized in particular through:<\/li>\n\n\n\n<li>Conducting research projects in the field of business informatics and the digital society that are fully or partially financed by the Federal Government, the state governments, the European Community or recognized foundations and whose results are made accessible to the general public after an appropriate period of time.<\/li>\n\n\n\n<li>Conducting research projects of industrial collective research within the framework of the German Federation of Industrial Research Associations e.V. (AiF).<\/li>\n\n\n\n<li>Publication of all research results from funded projects<br>in accordance with the respective funding guidelines.<\/li>\n\n\n\n<li>Conducting scientific events whose results are made accessible to all interested parties, as well as other forms of informing the general public about scientific findings and their effects.<\/li>\n<\/ul>\n<\/li>\n\n\n\n<li>The statutory purpose \u201cpromotion of education\u201d is realized in particular through:\n<ul class=\"wp-block-list\">\n<li>Conducting education and further training measures in the field of<br>business informatics that are accessible to the general public, such as<br>Workshops, Seminare und Lehrg\u00e4nge, sowie anderen Formen der<br>workshops, seminars and courses, as well as other forms of knowledge transfer for the general public.<\/li>\n\n\n\n<li>Participation in the formation of public opinion with regard to the digital<br>economy and society.<\/li>\n<\/ul>\n<\/li>\n\n\n\n<li class=\"translation-block\">In order to pursue its purposes, the association can acquire a membership in other associations. This applies to specialist committees, clubs and\nassociations.<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center translation-block\">\u00a73<br>Non-profit<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li class=\"translation-block\">The association is selflessly active; it does not primarily pursue its own economic purposes.<\/li>\n\n\n\n<li>Funds of the association may only be used for purposes in accordance with the statutes. The members do not receive any allocations from the funds of the association;<br>reimbursement of expenses is permitted.<\/li>\n\n\n\n<li>No person may be favored through expenditures that are unrelated to the purposes of the association or through disproportionately high remuneration.<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center translation-block\">\u00a74 <br>Membership<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>Members of the association may be natural persons and legal entities or<br>associations of persons, scientific institutions, authorities, associations or clubs and federations, foundations, companies, as well as commercial enterprises of any legal form whose purpose and activity or professional interest are connected with the purpose of the association.<\/li>\n\n\n\n<li>Membership is voluntary. It is acquired on the basis of an informal written<br>application. The Board of Directors decides on the admission of a member<br>within 8 weeks after receipt of the application. In the event of an admission being refused by the Board of Directors, the person concerned has the right to lodge an objection with the Board of Directors within 6 weeks. The objection must be submitted by the Board of Directors to the next General Assembly. The decision of the General Assembly is final.<\/li>\n\n\n\n<li class=\"translation-block\">Membership begins with notification of admission. A full membership fee is due for the year of joining.<\/li>\n\n\n\n<li>The members pay annual contributions, the minimum amount and due date of which are determined in contribution regulations adopted by the General Assembly.<\/li>\n\n\n\n<li class=\"translation-block\">Clubs, associations, foundations or charitable societies can become non-contributory members of the association provided they support the aims of the association and the association is also granted non-contributory membership in the association, association, foundation or society in question.<\/li>\n\n\n\n<li class=\"translation-block\">Natural persons who have made a special contribution to the association can be appointed honorary members. Honorary members are appointed by the Board of Directors. Honorary members have the same rights as regular members, but are exempt from paying membership fees.<\/li>\n\n\n\n<li>In addition, there is the possibility of membership as a corresponding member of the association. Corresponding members are appointed by the Board of Directors of the association; membership is established by written acceptance and may be terminated unilaterally by written declaration at the end of the respective financial year.<\/li>\n\n\n\n<li>Membership ends:\n<ul class=\"wp-block-list\">\n<li>in the case of natural persons, with death;<\/li>\n\n\n\n<li>in the case of legal entities, associations and companies as well as industrial<br>companies with their dissolution or bankruptcy;<\/li>\n\n\n\n<li>after written notice of termination by a member at the end of the current fiscal year. The termination must be received by the managing director by registered letter at least 3 months before the end of the fiscal year;<\/li>\n\n\n\n<li>by resolution of the board, if the member contravenes the interests, the statutes or the resolutions of the association, has committed an act that is punishable in Germany and has been legally convicted in Germany or no longer fulfills the requirements for membership; an objection to the resolution may be raised within 6 weeks of notification. The objection is to be presented to the next general meeting by the board. The decision of the general meeting is final.<\/li>\n\n\n\n<li>automatically if the annual membership fee is not paid despite three reminders and after written notice of the exclusion.<\/li>\n<\/ul>\n<\/li>\n\n\n\n<li>Voluntary resignation or exclusion from the Association does not cancel the obligation to pay dues due for the current fiscal year and does not grant any claims to repayment of dues or to the assets of the Association<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center translation-block\">\u00a75<br>Rights and duties of the members<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li class=\"translation-block\">All members are entitled to submit motions for the general assembly. The applications must be submitted to the management at least one week before a general meeting.<\/li>\n\n\n\n<li>All members are entitled to submit proposed topics to the management or<br>the Board of Directors that are to be subjected to scientific consultation. The Board of Directors and the management shall take such proposals into account within the possibilities of the association.<\/li>\n\n\n\n<li class=\"translation-block\">All members are entitled to attend the general assembly. The number of representatives of each institutional member is limited to a maximum of 5 people.<\/li>\n\n\n\n<li class=\"translation-block\">All members have the active and passive right to vote in the composition of the board, the research advisory board and the function of the auditor.<\/li>\n\n\n\n<li>Each member has one vote.<\/li>\n\n\n\n<li>The members are obliged to support the association in carrying out its tasks.<\/li>\n\n\n\n<li>In order to ensure that they can be reached, the members are obliged to notify the management of the association of any change in their address.<\/li>\n\n\n\n<li>Each member pays the fixed annual fee (see \u00a7 4).<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center translation-block\">\u00a76 Organs of the association<\/p>\n\n\n\n<p>The affairs of the association taken care of by:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>The General Assembly<\/li>\n\n\n\n<li>The board<\/li>\n\n\n\n<li>Directorate<\/li>\n\n\n\n<li>The Research Advisory Board<\/li>\n\n\n\n<li>The management<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center\">\u00a77<br>General Assembly<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>The General Assembly consists of all members. Each member has one vote. Members may be represented by written authorization. The written authorization must be presented to the Board of Directors at the beginning of the General Assembly.<\/li>\n\n\n\n<li>The Ordinary General Assembly takes place every 2 years; Extraordinary General Assemblies take place by resolution of the Board of Directors or upon written application by at least 4\/10 of the members.<\/li>\n\n\n\n<li class=\"translation-block\">The invitation to the general meeting is issued in writing by the managing director, at least three weeks before the day of the meeting, stating the relevant agenda. The items on the agenda proposed by members are to be dealt with at the general meeting.<\/li>\n\n\n\n<li>The General Assembly is chaired by the Chairman of the Board or another member of the Board of Directors. <\/li>\n\n\n\n<li>The duly convened General Assembly has a quorum regardless of the number of members present. With the exception of the rules in \u00a77 para. 7 and \u00a77 para. 8, it adopts all resolutions by a simple majority<br>of the votes cast. In the event of a tie, a motion is deemed rejected.<\/li>\n\n\n\n<li>The General Assembly is responsible in particular for:  \n<ul class=\"wp-block-list\">\n<li>the election of the Board of Directors, the members of the Research Advisory Board and two auditors,<\/li>\n\n\n\n<li>acceptance of the annual report and accounts,<\/li>\n\n\n\n<li>the discharge of the board and the management,<\/li>\n\n\n\n<li>the decision on the budgets for the coming years,<\/li>\n\n\n\n<li>the determination of the contribution regulations,<\/li>\n\n\n\n<li>the decision on the appeal against the rejection of the<br>admission of a member,<\/li>\n\n\n\n<li>the decision on the appeal against the rejection of the<br>member,<\/li>\n\n\n\n<li>the amendment of the statutes and the dissolution of the association.<\/li>\n<\/ul>\n<\/li>\n\n\n\n<li>Motions to amend the statutes must be announced in the agenda of<br>the General Assembly. Amendments to the statutes require<br>a majority of 2\/3 of the votes cast at the meeting, whereby<br>abstentions and invalid votes are not counted.<\/li>\n\n\n\n<li>A motion to dissolve the association must be dealt with at the General<br>Assembly after prior announcement in the agenda. It is deemed provisionally accepted if a majority of 3\/4 of the votes cast votes in favor. Following this provisional resolution on dissolution, another General Assembly must be convened within three weeks, at which the provisional resolution on dissolution may be confirmed by 3\/4 of all votes cast and thereby becomes final. If fewer than 3\/4 of the votes are cast in favor of the dissolution resolution, it is deemed rejected.<\/li>\n\n\n\n<li class=\"translation-block\">The resolutions passed at the general meeting are to be recorded in minutes that are made available to the members within four weeks of the general meeting. The minutes are considered approved if no written objection is raised with the Board of Directors within one month of receipt. In the event of an objection, the board of directors must submit the minutes to the next general meeting for discussion and resolution. The managing director is responsible for keeping the minutes.<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center\">\u00a78<br>Board<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li class=\"translation-block\">The board of directors in the sense of \u00a726 BGB consists of three people. Members of the board can be representatives of the affiliated organizations and member companies as well as personal members.<\/li>\n\n\n\n<li>The members of the Board of Directors are elected by the General Assembly by<br>secret ballot. Those candidates who receive the most votes and accept the election are deemed elected.<br>In the event of a tie, a run-off election is required.<\/li>\n\n\n\n<li>The term of office of the elected members of the Board of Directors is 2 years. Re-election is permitted.<\/li>\n\n\n\n<li class=\"translation-block\">The board of directors appoints a chairman from among its members. The association is represented by the chairman or two board members.<\/li>\n\n\n\n<li class=\"translation-block\">The Board of Directors is responsible for all questions that are not reserved for the General Assembly.<\/li>\n\n\n\n<li class=\"translation-block\">The Executive Board has a quorum when more than half of its members are present. This decides with a simple majority of votes.<\/li>\n\n\n\n<li>The Board of Directors manages the association and determines the measures necessary to fulfil<br>the purposes pursued by the association.<br>It must adopt resolutions on:\n<ul class=\"wp-block-list\">\n<li>order of the manager,<\/li>\n\n\n\n<li>applications for membership of new members,<\/li>\n\n\n\n<li>exclusion of members,<\/li>\n\n\n\n<li>vocation of corresponding members,<\/li>\n\n\n\n<li>Nomination of honorary members,<\/li>\n\n\n\n<li class=\"translation-block\">Exemption from contributions for clubs, associations, foundations or charitable<br>societies according to \u00a7 4 paragraph 5,<\/li>\n\n\n\n<li>rules of procedure of the board of directors,<\/li>\n\n\n\n<li>management order,<\/li>\n\n\n\n<li>appointment of a board of directors.<\/li>\n<\/ul>\n<\/li>\n\n\n\n<li class=\"translation-block\">The board of directors discusses the budget for the following years and the annual accounts before they are dealt with in the general assembly.<\/li>\n\n\n\n<li>At least one board meeting is held annually.<\/li>\n\n\n\n<li class=\"translation-block\">After the end of the election period, the Executive Board continues its business until the new election.<\/li>\n\n\n\n<li>The activities of the members of the board of directors are honorary.<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center translation-block\">Directorate<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>The Directorate consists of the directors of the research areas of the association who, as professors, feel particularly committed to the timely transfer of their research results into business and society, wish to do so independently and on their own initiative, and use for this purpose the association\u2019s shared infrastructure, which is particularly geared toward transfer.<\/li>\n\n\n\n<li class=\"translation-block\">To this end, the board of directors advises the board of directors on the main features of internal science and research policy as well as research, expansion and financial planning and also on all questions relating to the smooth cooperation of the research areas and the effective support of the research areas in their activities.<\/li>\n\n\n\n<li class=\"translation-block\">The members of the Board of Directors are appointed and dismissed by resolution of the Board of Directors.<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center translation-block\">The Research Advisory Board<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>The Research Advisory Board consists of:\n<ul class=\"wp-block-list\">\n<li>the spokesperson of the Board of Directors, who chairs the<br>Research Advisory Board,<\/li>\n\n\n\n<li>the Managing Director of the association, <\/li>\n\n\n\n<li>and persons to be elected by the General Assembly, upon the proposal of the Board of Directors, for a term of 4 years. Re-election is possible.<\/li>\n<\/ul>\n<\/li>\n\n\n\n<li>The members of the Advisory Board should be persons who, by virtue of their<br>professional activities, have sufficient experience with regard to research and development in the field of business informatics and the digital<br>society.<\/li>\n\n\n\n<li>The Research Advisory Board has the following tasks in particular:<br>a. It reviews applications for public funding of industrial collective research projects submitted by the association to the AiF.<br>b. It specifies research priorities, where applicable also priority programs, in the field of business informatics and the digital society and recommends the establishment of cooperative relationships between suitable<br>research institutions. It has the right to establish committees and define<br>their areas of responsibility.<br>c. It seeks opportunities to acquire funding for<br>research projects and advises on opportunities for applying for such<br>funding.<\/li>\n\n\n\n<li>The activity in the research advisory board is honorary.<\/li>\n\n\n\n<li>The Research Advisory Board can set its own rules of procedure.<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center translation-block\">The Management<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li class=\"translation-block\">The board of the association appoints a full-time or part-time managing director.<\/li>\n\n\n\n<li class=\"translation-block\">The managing director is responsible for running the day-to-day business of the association in accordance with the articles of association, the resolutions of the general meeting and the board of directors.<\/li>\n\n\n\n<li class=\"translation-block\">The rights and duties of the management are regulated in a management order to be decided by the board of directors.<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center translation-block\">\u00a712<br>Accountant<\/p>\n\n\n\n<p>Two auditors are elected biennially by the general meeting to audit the annual accounts, and they may not hold any other office in the association. The auditors report the results of the audit to the ordinary general assembly. Re-election is possible.<\/p>\n\n\n\n<p class=\"has-text-align-center translation-block\">\u00a713<br>Financing<\/p>\n\n\n\n<p>The pursuit of the purpose of the association will be made from:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li class=\"translation-block\">Funding for scientific research projects\nare of general and public interest,<\/li>\n\n\n\n<li>membership fees,<\/li>\n\n\n\n<li class=\"translation-block\">other financial and material donations from members and other sponsors,<\/li>\n\n\n\n<li>Income from the investment of the assets of the association,<\/li>\n\n\n\n<li>Participation fees for scientific events and for training and further education measures of the association,<\/li>\n\n\n\n<li>Income from publications and information services of the association,<\/li>\n\n\n\n<li>Public and other grants,<\/li>\n\n\n\n<li class=\"translation-block\">Surpluses - after payment of the corresponding taxes - financed from the economic business operation and the special-purpose operation.<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center translation-block\">\u00a714 <br>Personel<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>Members of the association may in principle provide personnel to the association free of charge for the performance of tasks of<br>the association. The Board of Directors directly approaches those members from whom it wishes personnel to be provided.<\/li>\n\n\n\n<li class=\"translation-block\">The staff assigned to the association by a member is bound by the instructions of the association and its organs. Furthermore, it is agreed that the assigned staff will maintain secrecy about their activities in the association.<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center translation-block\">\u00a715<br>Silence<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>Each member undertakes, after joining the association, to maintain confidentiality regarding the activities of the association beyond death<br>in the case of natural persons or insolvency\/dissolution in the case of legal entities.<\/li>\n\n\n\n<li class=\"translation-block\">The obligation to maintain confidentiality can be lifted by the Management Board in individual cases. The cancellation must be in writing.<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center translation-block\">\u00a716<br>Dissolution of the association<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li class=\"translation-block\">The association can only be dissolved by resolution of the general meeting. The request must be communicated on the agenda.<\/li>\n\n\n\n<li>Upon dissolution of the association or upon cessation of its tax-privileged purpose, the assets of the association remaining after deduction of all liabilities shall be transferred to the AiF Arbeitsgemeinschaft industrieller Forschungsvereinigungen \u201cOtto<br>von Guericke\u201d e.V. for direct and exclusive use for charitable purposes.<br>In the event that the tax-privileged purposes of<br>the AiF should cease to exist, the General Assembly of the association<br>must adopt a new resolution on the use of the assets.
