Name, registered office and<\/em><\/p>\n\n\n\n

  1. The association bears the name \u201cInstitut f\u00fcr Wirtschaftsinformatik und Digitale Gesellschaft e.V.\u201d.<\/li>\n\n\n\n
  2. The association is based in Potsdam.<\/li>\n\n\n\n
  3. The financial year of the association is the calendar year.<\/li>\n<\/ol>\n\n\n\n

    \u00a72<\/strong><\/p>\n\n\n\n

    Purpose<\/em><\/p>\n\n\n\n

      \n
    1. The association pursues exclusively and directly charitable purposes\u2014both domestically and internationally\u2014within the meaning of the section \"Tax-Privileged Purposes\" of the Fiscal Code of 1977 (Abgabenordnung 1977), by:
      a. Promotion of research and science
      b. Promotion of education\n
        \n
      • The statutory purpose \u201cpromotion of research and science\u201d is realized in particular through:<\/li>\n\n\n\n
      • Conducting research projects in the field of business informatics and the digital society that are fully or partially financed by the Federal Government, the state governments, the European Community or recognized foundations and whose results are made accessible to the general public after an appropriate period of time.<\/li>\n\n\n\n
      • Conducting research projects of industrial collective research within the framework of the German Federation of Industrial Research Associations e.V. (AiF).<\/li>\n\n\n\n
      • Publication of all research results from funded projects
        in accordance with the respective funding guidelines.<\/li>\n\n\n\n
      • Conducting scientific events whose results are made accessible to all interested parties, as well as other forms of informing the general public about scientific findings and their effects.<\/li>\n<\/ul>\n<\/li>\n\n\n\n
      • The statutory purpose \u201cpromotion of education\u201d is realized in particular through:\n
          \n
        • Conducting education and training measures in the field of business informatics that are accessible to the general public\u2014such as workshops, seminars, and training courses\u2014as well as other forms of knowledge dissemination for the general public.<\/li>\n\n\n\n
        • Participation in shaping the collective will regarding the digital economy and society.<\/li>\n<\/ul>\n<\/li>\n\n\n\n
        • To pursue its objectives, the association may itself acquire membership in other organizations. These include, among others, specialist bodies, associations, and federations.<\/li>\n<\/ol>\n\n\n\n

          \u00a73<\/strong><\/p>\n\n\n\n

          Non-profit status<\/em><\/p>\n\n\n\n

            \n
          1. The association operates on a non-profit basis; it does not primarily pursue commercial interests.<\/li>\n\n\n\n
          2. Funds of the association may only be used for purposes in accordance with the statutes. The members do not receive any allocations from the funds of the association;
            reimbursement of expenses is permitted.<\/li>\n\n\n\n
          3. No person may be favored through expenditures that are unrelated to the purposes of the association or through disproportionately high remuneration.<\/li>\n<\/ol>\n\n\n\n

            \u00a74<\/strong><\/p>\n\n\n\n

            membership<\/em><\/p>\n\n\n\n

              \n
            1. Members of the association may be natural persons and legal entities or
              associations of persons, scientific institutions, authorities, associations or clubs and federations, foundations, companies, as well as commercial enterprises of any legal form whose purpose and activity or professional interest are connected with the purpose of the association.<\/li>\n\n\n\n
            2. Membership is voluntary. It is acquired upon submission of an informal written application. The Executive Board decides on the admission of a member within eight weeks of receipt of the application. If the Executive Board refuses admission to the association, the applicant has the right to lodge an objection with the Board within six weeks. The Executive Board must submit the objection to the next General Meeting. The decision of the General Meeting is final.<\/li>\n\n\n\n
            3. Membership begins upon notification of admission. The full membership fee is payable for the year of joining.<\/li>\n\n\n\n
            4. The members pay annual contributions, the minimum amount and due date of which are determined in contribution regulations adopted by the General Assembly.<\/li>\n\n\n\n
            5. Associations, organizations, foundations or non-profit companies can
              become members of the association exempt from dues, provided they support the association\u2019s objectives and, in return, the association is granted dues-free membership in the respective association, federation, foundation, or society.<\/li>\n\n\n\n
            6. Individuals who have rendered outstanding service to the association may be appointed as honorary members. Honorary members are appointed by the Executive Board. In terms of rights, honorary members have the same status as ordinary members but are exempt from paying membership fees.<\/li>\n\n\n\n
            7. In addition, there is the possibility of membership as a corresponding member of the association. Corresponding members are appointed by the Board of Directors of the association; membership is established by written acceptance and may be terminated unilaterally by written declaration at the end of the respective financial year.<\/li>\n\n\n\n
            8. Membership ends:\n
                \n
              • in the case of natural persons, with death;<\/li>\n\n\n\n
              • in the case of legal entities, associations, and companies, as well as commercial enterprises, upon their dissolution or the commencement of insolvency proceedings;<\/li>\n\n\n\n
              • after written notice of termination by a member at the end of the current fiscal year. The termination must be received by the managing director by registered letter at least 3 months before the end of the fiscal year;<\/li>\n\n\n\n
              • by resolution of the board, if the member contravenes the interests, the statutes or the resolutions of the association, has committed an act that is punishable in Germany and has been legally convicted in Germany or no longer fulfills the requirements for membership; an objection to the resolution may be raised within 6 weeks of notification. The objection is to be presented to the next general meeting by the board. The decision of the general meeting is final.<\/li>\n\n\n\n
              • automatically if the annual membership fee is not paid despite three reminders and after written notice of the exclusion.<\/li>\n<\/ul>\n<\/li>\n\n\n\n
              • Voluntary resignation or exclusion from the Association does not cancel the obligation to pay dues due for the current fiscal year and does not grant any claims to repayment of dues or to the assets of the Association<\/li>\n<\/ol>\n\n\n\n

                \u00a75<\/strong><\/p>\n\n\n\n

                Rechte und Pflichten der Mitglieder<\/em><\/p>\n\n\n\n

                  \n
                1. All members are entitled to submit motions for the general assembly. The applications must be submitted to the management at least one week before a general meeting.<\/li>\n\n\n\n
                2. All members are entitled to submit proposed topics to the management or
                  the Board of Directors that are to be subjected to scientific consultation. The Board of Directors and the management shall take such proposals into account within the possibilities of the association.<\/li>\n\n\n\n
                3. All members are entitled to attend the general meeting. The number of representatives for each individual institutional member is limited to a maximum of five persons.<\/li>\n\n\n\n
                4. All members have the right to vote and to stand for election regarding the composition of the Executive Board and the Research Advisory Board, as well as the position of auditor.<\/li>\n\n\n\n
                5. Each member has one vote.<\/li>\n\n\n\n
                6. The members are obliged to support the association in carrying out its tasks.<\/li>\n\n\n\n
                7. In order to ensure that they can be reached, the members are obliged to notify the management of the association of any change in their address.<\/li>\n\n\n\n
                8. Each member pays the fixed annual fee (see \u00a7 4).<\/li>\n<\/ol>\n\n\n\n

                  \u00a76<\/strong><\/p>\n\n\n\n

                  Organe des Vereins<\/em><\/p>\n\n\n\n

                  The affairs of the association taken care of by:<\/p>\n\n\n\n

                  1. The General Assembly<\/li>\n\n\n\n
                  2. The board<\/li>\n\n\n\n
                  3. Directorate<\/li>\n\n\n\n
                  4. The Research Advisory Board<\/li>\n\n\n\n
                  5. The management<\/li>\n<\/ol>\n\n\n\n

                    \u00a77<\/strong><\/p>\n\n\n\n

                    General Assembly<\/em><\/p>\n\n\n\n

                      \n
                    1. The General Assembly consists of all members. Each member has one vote. Members may be represented by written authorization. The written authorization must be presented to the Board of Directors at the beginning of the General Assembly.<\/li>\n\n\n\n
                    2. The Ordinary General Assembly takes place every 2 years; Extraordinary General Assemblies take place by resolution of the Board of Directors or upon written application by at least 4\/10 of the members.<\/li>\n\n\n\n
                    3. The invitation to the general meeting is issued by the managing director.
                      in writing, at least three weeks before the meeting date, stating the relevant agenda. The items proposed by members
                      Agenda items are to be addressed at the general meeting of members.<\/li>\n\n\n\n
                    4. The General Assembly is chaired by the Chairman of the Board or another member of the Board of Directors. <\/li>\n\n\n\n
                    5. A duly convened general meeting constitutes a quorum regardless of the number of members present. With the exception of the rules set forth in \u00a77 Para. 7 and \u00a77 Para. 8, all resolutions are adopted by a simple majority of the votes cast. In the event of a tie, the motion is deemed rejected.<\/li>\n\n\n\n
                    6. The General Assembly is responsible in particular for: \n
                        \n
                      • the election of the Board of Directors, the members of the Research Advisory Board and two auditors,<\/li>\n\n\n\n
                      • acceptance of the annual report and accounts,<\/li>\n\n\n\n
                      • the discharge of the board and the management,<\/li>\n\n\n\n
                      • the decision on the budgets for the coming years,<\/li>\n\n\n\n
                      • the determination of the contribution regulations,<\/li>\n\n\n\n
                      • the decision on the appeal against the rejection of the
                        admission of a member,<\/li>\n\n\n\n
                      • the decision on the appeal against the rejection of the
                        member,<\/li>\n\n\n\n
                      • the amendment of the statutes and the dissolution of the association.<\/li>\n<\/ul>\n<\/li>\n\n\n\n
                      • Motions to amend the statutes must be announced in the agenda of
                        ...must be announced at the general meeting. Amendments to the statutes require a majority of two-thirds of the votes cast at the meeting, with abstentions and invalid votes not being counted.<\/li>\n\n\n\n
                      • A motion to dissolve the association must be addressed at a general meeting following its inclusion in the agenda. It is deemed accepted\u2014subject to a final resolution\u2014if it receives a majority of three-quarters of the votes cast. Following this provisional resolution to dissolve, a further general meeting must be convened within three weeks; at this meeting, the provisional resolution may be confirmed by three-quarters of all votes cast, thereby becoming final. If fewer than three-quarters of the votes are cast in favor of the resolution to dissolve, it is deemed rejected.<\/li>\n\n\n\n
                      • Resolutions adopted at the general meeting must be recorded in minutes that are made available to the members within four weeks of the meeting. The minutes shall be deemed approved unless a written objection is lodged with the Executive Board within one month of receipt. In the event of an objection, the Executive Board must submit the minutes to the next general meeting for discussion and resolution. The Managing Director is responsible for keeping the minutes.<\/li>\n<\/ol>\n\n\n\n

                        \u00a78<\/strong><\/p>\n\n\n\n

                        Board<\/em><\/p>\n\n\n\n

                          \n
                        1. The board of directors, as defined in \u00a726 of the German Civil Code (BGB), consists of three persons. Members of the board of directors may include representatives of the affiliated organizations and
                          Mitgliedsfirmen sowie pers\u00f6nliche Mitglieder werden.<\/li>\n\n\n\n
                        2. The members of the Board of Directors are elected by the General Assembly by
                          secret ballot. Those candidates who receive the most votes and accept the election are deemed elected.
                          In the event of a tie, a run-off election is required.<\/li>\n\n\n\n
                        3. The term of office of the elected members of the Board of Directors is 2 years. Re-election is permitted.<\/li>\n\n\n\n
                        4. The Executive Board appoints a chairperson from among its members. The association is represented by the chairperson or by two members of the Executive Board.<\/li>\n\n\n\n
                        5. The Board of Directors is responsible for all questions that are not reserved for the General Assembly.<\/li>\n\n\n\n
                        6. The Executive Board has a quorum when more than half of its members are present. This decides with a simple majority of votes.<\/li>\n\n\n\n
                        7. The Executive Board manages the association and determines the measures necessary to fulfill the purposes pursued by the association. It is responsible for passing resolutions regarding:\n
                            \n
                          • order of the manager,<\/li>\n\n\n\n
                          • applications for membership of new members,<\/li>\n\n\n\n
                          • exclusion of members,<\/li>\n\n\n\n
                          • vocation of corresponding members,<\/li>\n\n\n\n
                          • Nomination of honorary members,<\/li>\n\n\n\n
                          • Exemption from contributions for clubs, associations, foundations or charitable
                            societies according to \u00a7 4 paragraph 5,<\/li>\n\n\n\n
                          • rules of procedure of the board of directors,<\/li>\n\n\n\n
                          • management order,<\/li>\n\n\n\n
                          • appointment of a board of directors.<\/li>\n<\/ul>\n<\/li>\n\n\n\n
                          • The board of directors discusses the budget for the following years and the annual accounts before they are dealt with in the general assembly.<\/li>\n\n\n\n
                          • At least one board meeting is held annually.<\/li>\n\n\n\n
                          • The Executive Board continues to conduct its business after the expiration of its term of office until the new election.<\/li>\n\n\n\n
                          • The activities of the members of the board of directors are honorary.<\/li>\n<\/ol>\n\n\n\n

                            \u00a79<\/strong><\/p>\n\n\n\n

                            Directorate<\/em><\/p>\n\n\n\n

                              \n
                            1. The Directorate consists of the directors of the research areas of the association who, as professors, feel particularly committed to the timely transfer of their research results into business and society, wish to do so independently and on their own initiative, and use for this purpose the association\u2019s shared infrastructure, which is particularly geared toward transfer.<\/li>\n\n\n\n
                            2. In this capacity, the Directorate advises the Executive Board on the fundamental aspects of internal science and research policy, as well as on research, expansion, and financial planning; furthermore, it advises on all matters concerning the smooth interaction of the research divisions and the effective support of those divisions in their activities.<\/li>\n\n\n\n
                            3. The members of the Executive Board are appointed and dismissed by a resolution of the Management Board.<\/li>\n<\/ol>\n\n\n\n

                              \u00a710<\/strong><\/p>\n\n\n\n

                              Forschungsbeirat<\/em><\/p>\n\n\n\n

                                \n
                              1. The Research Advisory Board consists of:\n
                                  \n
                                • the spokesperson of the Board of Directors, who chairs the
                                  Research Advisory Board,<\/li>\n\n\n\n
                                • the Managing Director of the association, <\/li>\n\n\n\n
                                • and persons to be elected by the General Assembly, upon the proposal of the Board of Directors, for a term of 4 years. Re-election is possible.<\/li>\n<\/ul>\n<\/li>\n\n\n\n
                                • The members of the advisory board should be individuals who, by virtue of their professional activities, possess sufficient experience in research and development within the fields of business informatics and the digital society.<\/li>\n\n\n\n
                                • The Research Advisory Board has the following tasks in particular:
                                  a. It reviews applications for public funding of industrial collective research projects submitted by the association to the AiF.
                                  b. Er spezifiziert Forschungsschwerpunkte (ggf. auch Schwerpunktprogramme) im Bereich von Wirtschaftsinformatik und Digitaler Gesellschaft und empfiehlt den Aufbau von Kooperationsbeziehungen zwischen geeigneten Forschungseinrichtungen. Er hat das Recht, Aussch\u00fcsse einzusetzen und deren Aufgabenbereiche festzulegen.
                                  c. It seeks opportunities to acquire funding for
                                  research projects and advises on options for applying for such funding.<\/li>\n\n\n\n
                                • The activity in the research advisory board is honorary.<\/li>\n\n\n\n
                                • The Research Advisory Board can set its own rules of procedure.<\/li>\n<\/ol>\n\n\n\n

                                  \u00a711<\/strong><\/p>\n\n\n\n

                                  Management<\/em><\/p>\n\n\n\n

                                    \n
                                  1. The board of the association appoints a full-time or part-time managing director.<\/li>\n\n\n\n
                                  2. The Managing Director is responsible for conducting the day-to-day business of the association in accordance with the statutes and the resolutions of the General Meeting and the Executive Board.<\/li>\n\n\n\n
                                  3. The rights and duties of the management are governed by management regulations to be adopted by the Executive Board.<\/li>\n<\/ol>\n\n\n\n

                                    \u00a712<\/strong><\/p>\n\n\n\n

                                    Rechnungspr\u00fcfer<\/em><\/p>\n\n\n\n

                                    Two auditors are elected biennially by the general meeting to audit the annual accounts, and they may not hold any other office in the association. The auditors report the results of the audit to the ordinary general assembly. Re-election is possible.<\/p>\n\n\n\n

                                    \u00a713<\/strong><\/p>\n\n\n\n

                                    Finanzierung<\/em><\/p>\n\n\n\n

                                    The pursuit of the purpose of the association will be made from:<\/p>\n\n\n\n

                                      \n
                                    1. Funding for scientific research projects\nare of general and public interest,<\/li>\n\n\n\n
                                    2. membership fees,<\/li>\n\n\n\n
                                    3. other financial and material donations from members and other sponsors,<\/li>\n\n\n\n
                                    4. Income from the investment of the assets of the association,<\/li>\n\n\n\n
                                    5. Participation fees for scientific events and for training and further education measures of the association,<\/li>\n\n\n\n
                                    6. Income from publications and information services of the association,<\/li>\n\n\n\n
                                    7. Public and other grants,<\/li>\n\n\n\n
                                    8. Surpluses - after payment of the corresponding taxes - financed from the economic business operation and the special-purpose operation.<\/li>\n<\/ol>\n\n\n\n

                                      \u00a714 <\/strong><\/p>\n\n\n\n

                                      Personal<\/em><\/p>\n\n\n\n

                                        \n
                                      1. In principle, members of the association may make personnel available to the association, free of charge, to carry out the association's tasks. The Executive Board directly approaches the members from whom it wishes to obtain such personnel.<\/li>\n\n\n\n
                                      2. Personnel assigned to the Association by a member are subject to the instructions of the Association and its governing bodies. Furthermore, it is agreed that the assigned personnel shall maintain confidentiality regarding their activities within the Association.<\/li>\n<\/ol>\n\n\n\n

                                        \u00a715<\/strong><\/p>\n\n\n\n

                                        Stillschweigen<\/em><\/p>\n\n\n\n

                                          \n
                                        1. Upon joining the association, every member undertakes to maintain confidentiality regarding the association's activities\u2014an obligation that continues beyond the member's death (in the case of natural persons) or insolvency or dissolution (in the case of legal entities).<\/li>\n\n\n\n
                                        2. The obligation to maintain confidentiality can be lifted by the Management Board in individual cases. The cancellation must be in writing.<\/li>\n<\/ol>\n\n\n\n

                                          \u00a716<\/strong><\/p>\n\n\n\n

                                          Aufl\u00f6sung des Vereins<\/em><\/p>\n\n\n\n

                                            \n
                                          1. The association can only be dissolved by resolution of the general meeting. The request must be communicated on the agenda.<\/li>\n\n\n\n
                                          2. In the event of the dissolution of the Association or the cessation of its tax-privileged purpose, the Association\u2019s assets remaining after the deduction of all liabilities shall be transferred to the AiF Arbeitsgemeinschaft industrieller Forschungsvereinigungen \u201eOtto von Guericke\u201c e.V. for immediate and exclusive use for charitable purposes. Should the AiF cease to pursue tax-privileged purposes, the General Meeting of the Association must pass a new resolution regarding the use of the assets.
